Terms of Service for Neighborly Rep

1. Agreement to Terms

Welcome to Neighborly Rep! These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Client"), and Carlo A. Candelario, doing business as Neighborly Rep ("Neighborly Rep," "we," "us," or "our"), concerning your access to and use of the https://www.neighborlyrep.com website as well as any related services, including our reputation management software platform (collectively, the "Service").

By accessing the website, scheduling a booking, or using the Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

2. The Service

Neighborly Rep provides a Software-as-a-Service (SaaS) platform designed to help local businesses manage and improve their online reputation ("the Service"). The features and scope of the Service are as described on our website and may be updated from time to time.

3. Subscriptions, Free Trial, and Payment

Free Trial: We offer a 14-day free trial for new Clients. You may be required to provide payment information to start the trial. At the end of the 14-day period, your trial will automatically convert into a paid monthly subscription unless you cancel prior to the end of the trial period.

Monthly Subscriptions: The Service is billed on a subscription basis. You will be billed in advance on a recurring, monthly basis. Your subscription will automatically renew at the end of each monthly cycle unless you cancel.

Payment: We use Stripe as our third-party payment processor. By providing payment information, you agree to our use of Stripe and agree to be bound by Stripe's terms and conditions. You represent and warrant that the payment information you supply to us is true, correct, and complete. We do not store your full credit card information on our servers.

Cancellation: You may cancel your monthly subscription at any time. There are no long-term contracts. A cancellation will be effective at the end of the current billing cycle. This means you will retain access to the Service for the remainder of the month you have paid for, and you will not be charged again. No refunds or credits will be provided for partial months of service.

4. User Registration

While users cannot create a public-facing account, you may be required to register with us to use certain features of the Service, such as scheduling a booking call or subscribing to the platform. You agree to keep your information accurate, complete, and confidential. You are responsible for all activities that occur under your client profile.

5. Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make the Service available. As a user, you agree not to:

Use the Service for any illegal or unauthorized purpose.

Engage in any automated use of the system, such as using scripts to send comments or messages, or any data mining, robots, or similar data gathering and extraction tools.

Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Service to you.

Attempt to impersonate another user or person.

Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use and enjoyment of the Service.

Use any information obtained from the Service in order to harass, abuse, or harm another person.

Infringe upon or violate our intellectual property rights or the intellectual property rights of others.

6. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, AI-generated images, graphics, logos, and the design, selection, and arrangement thereof) are owned by Neighborly Rep, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, revocable license to access and use the Service for your internal business purposes as a paying Client.

7. Termination

We reserve the right, in our sole discretion, to suspend or terminate your account and access to the Service, without notice, for any reason, including but not limited to a breach of these Terms.

8. Dispute Resolution: Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration in Travis County, Texas , before one arbitrator. The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

9. Governing Law

These Terms and your use of the Service are governed by and construed in accordance with the laws of the State of Texas applicable to agreements made and to be entirely performed within the State of Texas, without regard to its conflict of law principles.

10. Disclaimer of Warranties and Limitation of Liability

The Service is provided on an "as-is" and "as-available" basis. We make no warranties, expressed or implied, and hereby disclaim all other warranties. In no event shall Neighborly Rep or its owner be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages arising from or relating to your use of the Service.

11. Changes to Terms

We may modify these Terms at any time. We will post the revised Terms on this page. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
